By accessing, browsing, or using the Website and our services in any way, you confirm that you have read, understood, and fully accepted these Terms and Conditions. This document constitutes a distance contract between you, as a user of the Website (hereinafter "User" or "you"), and Von Consulting, as the owner and administrator of the VonStaff platform (hereinafter "we" or "the Company"). The Terms and Conditions clarify each party’s obligations and how to resolve any misunderstandings, providing legal protection for both the company and the users. If you do not agree with any of the provisions below, please do not use the Website. Continuing to use it represents your express acceptance of these Terms and Conditions.

Von Consulting is the operator of the VonStaff platform and the contracting entity that provides the services described on the Website. Any reference in these terms to "VonStaff", "we" or "the Company" refers to Von Consulting. In the context of these Terms and Conditions, the following terms will have the meanings below, unless the context requires otherwise:

"Platform" or "VonStaff application" refers to the software application offered by Von Consulting through the website or the mobile application that provides functionalities for human resources management, attendance tracking, etc.
"User" means you, the natural or legal person who accesses the Website or uses the VonStaff Platform. It can refer to both unregistered visitors and users with an account (for example, representatives of client companies, employees who use the application, etc.).
"Company" or "we" designates Von Consulting, which operates the Website and the VonStaff services.
"Website Content" includes, without limitation, all elements present on the Website: text, images, graphics, logos, icons, videos, interface elements, source code, databases, as well as the design, structure, selection, coordination, expression, and arrangement of such content.
"Terms and Conditions" represents this contractual agreement between the User and the Company, as well as any additional policies or rules referenced herein (for example, the Privacy Policy, Cookies Policy, if mentioned, which form an integral part of the Terms and Conditions).
These definitions are intended to facilitate understanding of the document. They apply both to the singular and the plural, with context determining the appropriate adaptation.
The entire content of the VonStaff Website is protected by the copyright and intellectual property laws in force. Unless otherwise specified, all rights (including but not limited to copyrights, registered trademarks, trade secrets) to the content and technical elements of the Website belong exclusively to Von Consulting. Copying, reproducing, distributing, publishing, modifying, transmitting, transferring, or creating derivative works based on the content of the Website is prohibited, regardless of purpose (commercial or non-commercial), without the prior written consent of the Company. Also, you are not allowed to remove or alter copyright notices, trademarks or other proprietary notices from copies of the content that have been displayed to you.
The logos, trademarks, and names VonStaff and Von Consulting are protected trademarks. Unauthorized use of these marks (including in metadata or as part of a domain name) is prohibited.

Additionally, through the web interface of the Platform, certain authenticated users (for example, existing clients and their employees) can access the functionalities of the human resources application.
Use of the Website must be carried out only for legitimate purposes consistent with its nature. You agree to use the Website and any content or functionality available only for your own use (personal or internal use within the company you represent) and not to exploit the Website in an abusive manner.
Examples of permitted use include: learning about VonStaff’s features, contacting us via a form, browsing public pages, registering a client account or logging in to access the HR platform, and any other reasonable actions expected from a bona fide user.
Conversely, it is strictly forbidden to use the Website in a manner that violates the law, good morals, or that could harm the Company or other users. By accepting the Terms, you agree NOT to engage in the following actions (the list is not exhaustive):
Unauthorized access: Do not attempt to access non-public sections of the Website, its servers or database, and do not try to circumvent security or authentication measures. Any attempt at hacking, cracking, or fraudulent access to the VonStaff infrastructure is strictly prohibited and may constitute a cybercrime.
Providing false or misleading information: When filling out forms on the Website or creating an account, you agree to provide information that is real, accurate, and complete. It is not permitted to misrepresent your identity, impersonate another person, or enter fictitious contact details. Likewise, you will not post content that is misleading (e.g., fake reviews, comments intended to misinform).
Transmission of illegal or harmful content: You will not use the Website’s communication channels (e.g., contact forms, comment sections, etc.) to transmit defamatory, obscene, pornographic, offensive, threatening, discriminatory materials or any content that in any way violates others’ rights or the law (including, but not limited to, hate speech, content that infringes copyright or privacy).
Injecting malware or technical interference: It is forbidden to introduce viruses, trojans, worms, logic bombs or any other type of malicious code or technology intended to disrupt the operation of the Website, steal data, or compromise security. You will not undertake actions such as DoS/DDoS attacks (denial of service) or any other activity that could affect the performance or accessibility of the Website for other users.
Unauthorized use of functionalities: You will not use any interactive functionalities (user account, upload sections, etc.) in a manner contrary to our instructions. For example, you will not abuse invitation systems, create multiple accounts for abusive purposes, or attempt to automatically extract (scrape) content or data from the Website without permission.
Any other misappropriated use: In general, you will not use the VonStaff Website for purposes other than those for which it was made available to you, and you will not undertake actions that could prejudice the interests, image, or rights of Von Consulting or its clients.
The Company reserves the right to immediately suspend or block access for any User who violates the above rules or any other provisions of the Terms. Also, depending on the severity of the violation, we reserve the right to notify the competent authorities (police, CERT, judicial authority) to investigate and sanction the acts, when these constitute offenses or contraventions.
Users agree to indemnify Von Consulting for any damage, loss, cost (including attorney’s fees) or penalty suffered as a result of the users’ failure to comply with their obligations set forth in this section.
Service availability: We make efforts to keep the Website and the VonStaff platform continuously functional and error-free. However, we do not guarantee that use of the Website will be uninterrupted, timely, secure, or free of any technical errors. The Website may become temporarily unavailable (in whole or in part) for planned reasons (e.g., maintenance, updates) or unplanned reasons (technical malfunctions, internet provider issues, cyber attacks, force majeure situations, etc.). We will attempt, as much as possible, to announce in advance any scheduled maintenance periods and to promptly resolve unforeseen incidents. However, Von Consulting cannot be held liable for any damages or losses you may suffer as a result of the temporary unavailability of the Website or of technical malfunctions beyond our control.
Accuracy of information: The information and materials published on the Website (such as feature descriptions, blog posts, case studies, technical documentation) are for informational purposes. Although we strive to keep the content updated and correct, there may be situations where inconsistencies, editing errors or outdated information appear. We do not guarantee that all content is at any given time complete, accurate, and up to date. Making decisions based on the information on the Website is done at your own risk. Interaction with users and user-generated content: If the Website allows content to be published by users (comments, reviews, forum posts, etc.), Von Consulting does not assume responsibility for content created by users. Each user is solely responsible for what they publish. However, we will act promptly to remove any content reported and proven to be illegal or contrary to these Terms. Von Consulting cannot be held liable for any damages or disputes resulting from communications or content generated by users, but will provide the necessary cooperation to authorities, in accordance with the law, if applicable, to resolve such situations.
Limitation of liability: To the maximum extent permitted by applicable law, the Company will not be liable for any indirect, incidental, special or consequential loss or damage suffered by users or third parties in connection with the use of the Website or the VonStaff services. This includes, but is not limited to: loss of profit, business interruption, loss of data, the cost of procuring alternative services or products, or other intangible losses. Likewise, Von Consulting is not liable for damages caused by improper use of the Website by users (contrary to our instructions or the law), for damages resulting from user errors (e.g., unauthorized disclosure of authentication data by the user) or for force majeure events or situations not under our reasonable control (e.g., power outages, natural disasters, socio-political conflicts, government restrictions, etc.).
Relationship with third parties: The Website may occasionally contain links (hyperlinks) to external sites or services belonging to third parties. These links are provided for your convenience (for example, a link to a relevant article, to our Facebook page, or to partner integrations). Von Consulting does not control and does not assume responsibility for the content, policies, or practices of these third-party websites. Accessing those links is at your own risk, and once you leave the vonstaff.com domain, you are subject to the terms and policies of the respective third party. We recommend that you read the terms and conditions of each site you visit. The inclusion of an external link does not mean that we endorse or guarantee the content of those sites.
Modification of services: Von Consulting reserves the right to modify, suspend, or discontinue (temporarily or permanently) any functionality or section of the Website or the VonStaff platform, with or without prior notice. For example, we may decide to update the website design, remove a section, or add or remove certain features of the VonStaff application. We may also impose limits on certain features or restrict access to parts of the Website if necessary for its proper administration. Users understand and accept that the Company will not be liable for any modification, suspension, or discontinuation of the Website or services, and that no damages or compensation are due for such actions. We will make efforts to notify registered users about major changes that could affect them (for example, via email or an in-account notification), but this may not always be possible for minor or urgent changes.
In all cases, the total aggregate liability of Von Consulting to a user for any claims or demands arising from or in connection with the use of the Website will be limited to, and will not exceed, the amount (if any) paid by that user to Von Consulting for access to the VonStaff services in the last 12 months prior to the event giving rise to liability. This limitation does not exclude or reduce our liability in cases where the law does not allow it, but applies in all other situations permitted by law.
Von Consulting is committed to protecting the privacy of users’ personal data. Any personal data collected from you through the Website (for example, via contact forms, newsletter sign-up, or through a user account) will be processed in accordance with our Privacy Policy, which is made available on the Website. We encourage you to read this policy to understand what data we collect, how we use it, what your rights are, and how you can exercise them.
In short, we will process your personal data only for legitimate, transparent, and appropriate purposes, such as providing and personalizing services, communicating with you, securing the platform, and fulfilling legal obligations. In addition, the use of the VonStaff Platform is also governed by specific contracts with clients, including Data Processing Agreements (DPAs) compliant with GDPR, where applicable. Essentially, Von Consulting acts as a Data Processor for the data entered by clients into the platform (the clients’ employees’ data), processing it only on their behalf and according to their instructions, and implementing all necessary security measures. Additional details can be found in the documentation provided to clients (DPA) and in our privacy policy.
By using the Website, you confirm that you have taken note of the Privacy Policy and agree to the processing of data under the conditions described. If you do not agree with the way we process data, please do not provide us with personal data and cease using our services, or contact us for any clarifications.
If, in the course of using the Website or platform, you have access to personal data (for example, if you are an HR administrator who sees your employees’ data), you also have the obligation to treat that data confidentially and to comply with the applicable law (including not disclosing it without authorization). Any security or confidentiality breach that you become aware of must be immediately reported to Von Consulting so that we can take the necessary measures.
The primary communication between Von Consulting and users is conducted electronically, via the Website, email, or in-platform notifications. By contacting our company through the forms on the Website, by email or other means provided, you agree to receive communications from us related to the request or message you sent. We will respond to your questions and requests as soon as possible, usually using the same channel through which you contacted us (unless you specify otherwise).
Von Consulting does not send unsolicited commercial communications to users. If you have voluntarily subscribed to our newsletter or consented to receive information about VonStaff updates, you will periodically receive emails from us with relevant content. You always have the option to unsubscribe (opt-out) via the dedicated link in each such email. If you are an existing VonStaff client, we may occasionally send you essential information about the operation of the service (for example, maintenance notifications, changes in Terms and Conditions, security updates). These essential communications are not promotional in nature and are considered an integral part of providing the service.
Any communication between you and Von Consulting must be conducted in a civilized and respectful manner. We reserve the right not to respond to messages that contain insults, vulgarities or threats, as well as those whose purpose is clearly malicious (for example, phishing). Also, any telephone conversation with our representatives may be recorded for the purpose of improving service quality; however, we will inform you at the beginning of the call if such a recording is made, in accordance with the law.
The VonStaff Website may contain links to websites or external resources managed by third parties (for example, partners’ articles, social media buttons, integration of Google Maps for the office address, etc.). These links are provided solely for informational purposes or as additional conveniences for users.
Von Consulting does not exercise control over the content, policies, or practices of these third-party sites and, therefore, assumes no responsibility for them. Accessing any link to a third-party site is at your own risk. We strongly recommend that once you have left our domain, you read the terms and conditions and privacy policies of each site you visit to ensure you understand their terms of use.
The inclusion of such links on our Website does not imply approval or endorsement by Von Consulting of the respective information, products, or services. For example, if a link to an external article appears on our blog, it is provided only because we consider it possibly useful, but we do not guarantee the accuracy of its content.
Von Consulting will not be a party to any dispute between a user and any of these third-party sites. You agree not to involve us in any disputes or claims against those third parties.
Additionally, it is possible that third-party sites have their own policies regarding the use of cookies, data collection, etc. – VonStaff has no control over these aspects and cannot be held liable for how those third parties manage your data.
If you believe that an external link on our site leads to inappropriate or illegal content, you can report it to us and we will evaluate whether to keep that link on the Website.
Certain users (e.g., administrators) may have access to secure areas of the VonStaff platform by creating a user account protected by a password. If you are provided with (or create) such an account, you are responsible for maintaining the confidentiality of your login credentials – especially the password. We recommend choosing a strong, unique password and not disclosing it to anyone. We also advise you to log out of your account after each session, especially if you are using a public computer or one that others have access to.
Responsibility for activities: You are responsible for all actions performed under your account. If you suspect that someone else has learned your password or accessed your account, you must inform us immediately and change your password. Von Consulting will not be liable for any losses or damages resulting from the user’s failure to protect their account.
We reserve the right to suspend or close any user account that we reasonably consider to have been compromised, misused, or used in violation of the Terms and Conditions. In addition, if we detect suspicious activities in your account (for example, logins from unusual IP addresses, actions indicating possible fraud or attack), we may temporarily block access and contact you for security verifications.
No account transfer: Your VonStaff account is dedicated exclusively to you. You are not allowed to transfer or assign the account (or access rights) to another person without our prior approval. Likewise, do not permit others to use your account in your place. In a business environment where multiple people need access, each should have their own account (we provide the ability to create multiple accounts with separate roles precisely to avoid credential sharing).
The Company may set additional security requirements for accounts, such as two-factor authentication (2FA). We encourage you to activate these measures where available to enhance account security.
In cases of serious violation of security rules or the Terms (for example, using the account for illegal activities, repeated hacking attempts), we reserve the right to suspend or permanently delete your account, without compensation, and to refuse you future access to the platform.
This document and the relationship between users and Von Consulting are governed by the laws of Romania, insofar as they do not derogate from the mandatory consumer protection laws of the user’s country of residence. In the absence of such a specific situation, Romanian law will apply as the primary law.
Any attempt to resolve disputes will be made amicably first. Users agree to contact Von Consulting first, through the available contact channels, to attempt to resolve any dissatisfaction or claims related to the Website or services. We will make efforts to resolve your complaint internally within 30 days of receipt, providing a solution or a reasoned response.
If we do not achieve an amicable resolution, any dispute arising in connection with these Terms and Conditions (including regarding their validity, interpretation, execution, or breach) will be submitted for resolution to the competent courts of Romania. Territorial jurisdiction will be determined based on the registered office of Von Consulting (unless the law provides otherwise, for example the jurisdiction of the consumer’s domicile, where applicable). Thus, disputes with professionals or with non-resident individuals will generally fall under the jurisdiction of the courts in the area of Von Consulting’s headquarters.
This provision will not limit in any way the right of Von Consulting to seek interim measures in case of infringement of its intellectual property rights or other rights, before any competent court, if necessary to prevent imminent and irreparable harm.
Von Consulting reserves the right to periodically modify these Terms and Conditions to reflect legislative changes, changes in the service offering or internal practices, or to add clarifications. When we make updates, we will publish the new version of the Terms on this page, noting at the end the date of the last update.
Any substantial change will be communicated in an appropriate manner before it comes into effect. For example, we may notify existing users via email or an in-account notification regarding the change in Terms, especially if the changes could significantly affect them (such as a change in payment methods, or in users’ rights or obligations). Minor changes, editorial in nature or that do not negatively affect the user’s rights, may take effect immediately upon publication.
It is the user’s responsibility to periodically review the Terms and Conditions to be aware of the most recent version. Continuing to use the Website or VonStaff services after the effective date of the new Terms constitutes your acceptance of those changes. If you do not agree with the changes, you must stop using the Website and, if you have an account, you can request its closure. We will consider such termination as the termination of your relationship with us, without any penalties.
In the event of any discrepancies between different versions of the Terms (for example, the English version and the Romanian version, if translations exist), the Romanian version will prevail.
If any provision of the Terms is found to be invalid or unenforceable by a competent court, the remaining provisions will remain in effect and continue to produce effects, and the invalid provision will be replaced with one that reflects as closely as possible the initial economic intent and is in accordance with the law.
